Terms of Service

1. Introduction

Welcome to AI Cost Gate ("ACG", "we", "our", or "us"). AI Cost Gate is a local-first cost-tracking gateway that sits between your AI agents and your LLM providers, logging request metadata, costs, and project / agent / model attribution into your own SQLite database. These Terms of Service ("Terms") govern your use of the AI Cost Gate software, private repository access, documentation, and related materials (collectively, the "Software"), as well as the marketing and account portal located at this website (the "Portal").

By downloading, installing, purchasing, accessing, or otherwise using the Software or the Portal, you agree to be bound by these Terms. If you do not agree, do not use the Software or the Portal.

2. The Software & the Portal

The Software is a self-hosted product that you run on your own infrastructure. It is designed to store data locally and, by design, does not send your prompts, completions, or request payloads to us.

The Portal (this website) is the marketing, billing, and account-management surface for AI Cost Gate. We may also use the Portal and linked operational systems to deliver private repository access and other licensed materials.

The Software and the Portal may be referred to together as the "Service".

3. Accounts

To purchase Pro access, receive private repository delivery, or access certain Portal features, you must create an account. When you create an account, you agree to:

Provide accurate, current, and complete information.
Maintain the security of your password and any credentials associated with your account.
Promptly update account information so it stays accurate.
Accept all risks of unauthorized access to your account.

You are responsible for all activity that occurs under your account. We may refuse service, suspend, or terminate accounts at our sole discretion, including for breach of these Terms.

4. Proprietary license and repository access

All source code, scripts, documentation, and other assets within the AI Cost Gate repository are proprietary materials fully owned by CostBrake. Access is licensed, not sold, and no ownership interest is transferred to you by any purchase, invitation, download, or account registration.

If you buy Pro access, we may deliver the Software through a private GitHub repository or another private delivery channel tied to the account and GitHub username you provide. That delivery gives you only the access we expressly authorize.

Unless we give you prior written authorization, you may not copy, redistribute, disclose to third parties, reverse engineer, or commercially utilize any part of the Software or related materials. If you need broader rights, including any third-party disclosure, redistribution, or commercial use, you must obtain our prior written authorization first.

5. GitHub username and delivery

To complete delivery through GitHub, you must provide a valid GitHub username at checkout. You represent and warrant that the username you provide is yours and that you are authorized to receive repository invitations at that account.

If you provide a username you do not control, or if delivery fails for reasons outside our reasonable control (for example, the username does not exist, has been suspended, or has disabled invitations), we are not obligated to issue a refund on that basis alone. We will, however, work with you in good faith to complete delivery to a corrected account where reasonably possible.

Delivery is complete when the GitHub collaborator invitation has been sent, or when an alternative private delivery channel has been made available to you.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations.
Infringe on the rights of others.
Upload or transmit viruses, malware, or other malicious code.
Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service.
Use the Portal in any way that could disable, overburden, or impair the Portal.
Share private repository materials with any third party without our prior written authorization.
Copy, redistribute, disclose, reverse engineer, or commercially utilize the Software except where we have expressly authorized it in writing.

7. Intellectual Property

The Software, the Portal, the AI Cost Gate name and logo, and all related text, graphics, source code, documentation, and assets are owned by CostBrake and are protected by copyright, trade secret, trademark, and other applicable laws.

Except for the limited access we expressly authorize, these Terms do not grant you any right, title, or interest in or to the Software or the Portal.

Feedback you submit may be used by us to improve the Service without obligation to you.

8. Payment Terms

Pro access and other paid delivery options are sold as one-time digital purchases unless we explicitly state otherwise at checkout. By purchasing, you agree to:

Pay the price displayed at checkout, in the currency shown.
Pay all applicable taxes.
Authorize our payment processor, Creem, to charge your selected payment method.

Payments are processed by Creem. We do not see or store your full card number. Refund eligibility is governed by our Refund Policy.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Software is a local cost-tracking tool. You are responsible for how you configure it, where you deploy it, and how you use the data it records.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI COST GATE, COSTBRAKE, ITS CONTRIBUTORS, AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

In any case, our aggregate liability to you for any claim arising out of or relating to the Service will not exceed the amount you paid us (if any) in the twelve (12) months immediately before the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless AI Cost Gate and CostBrake from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your Portal account, revoke private repository access, or disable other delivery access at any time, with or without notice, for any reason, including if you breach these Terms.

All provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership, payment obligations, license restrictions, disclaimers, indemnity, and limitations of liability.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page. For material changes, we will provide notice by email (if you have an account) or by a prominent notice on the Portal.
